Nano LMS is a cloud-based learning management platform designed to enable users to create, host, manage, distribute, and monitor learning and training content. The Service may include analytics, reporting tools, integrations, and other features intended to support educational and organizational training initiatives. Nano LMS may modify, enhance, or discontinue any aspect of the Service at any time in order to improve performance, address security or compliance requirements, or respond to market or technological changes.
3. Eligibility and Use Conditions
You must have the legal authority to enter into a binding contract in order to use Nano LMS. Access to the Service is conditioned upon your ongoing compliance with these Terms and all applicable laws and regulations. 5. Subscriptions, Fees, and Billing
Nano LMS may offer free, trial, and paid subscription plans. Pricing, billing cycles, usage limits, and feature availability are disclosed at the time of purchase. All fees are due in advance and are non-refundable except where required by applicable law. Nano LMS reserves the right to modify pricing, subscription terms, or billing structures upon reasonable notice. Continued use of the Service after such notice constitutes acceptance of the revised pricing or billing terms. Failure to make timely payments may result in suspension or termination of access to the Service.
6. License Grant and Permitted Use

7. User Content Ownership
You retain ownership of all content, materials, data, and information that you upload, submit, or create through Nano LMS ("User Content"). By using the Service, you grant Nano LMS a worldwide, royalty-free, fully paid, non-exclusive license to host, store, process, reproduce, modify solely for formatting or technical compatibility, display, and transmit User Content as necessary to operate, secure, maintain, and improve the Service. You represent and warrant that you have all rights, licenses, and permissions necessary to provide such User Content and that its use through the Service does not violate any law or third-party rights.
8. Acceptable Use and Platform Integrity
You agree to use Nano LMS only for lawful purposes and in a manner consistent with these Terms. You may not misuse the Service in any way that interferes with its normal operation, compromises its security, infringes intellectual property rights, or harms Nano LMS or other users. Nano LMS processes personal data in accordance with applicable data protection laws and its Privacy Policy. Reasonable administrative, technical, and organizational measures are implemented to protect data; however, no system can be guaranteed to be completely secure. You acknowledge and accept the inherent risks associated with electronic data transmission and storage.
12. Service Availability and Support
Nano LMS strives to provide reliable access to the Service but does not guarantee uninterrupted or error-free operation. Planned maintenance, upgrades, or unforeseen events may result in temporary service interruptions. Support services, if any, are provided based on your subscription plan.
13. Deletion and Retention of User Content
Nano LMS will retain User Content, data, and associated materials for as long as your account remains active. Deletion of User Content will occur only if you explicitly request deletion of your account. Upon such request, Nano LMS will delete all User Content after a commercially reasonable processing period or as required by applicable law. You acknowledge and agree that such deletion may be permanent and irreversible. Nano LMS is not responsible for any loss or damage resulting from the deletion of User Content. Users are responsible for exporting or backing up any content they wish to retain prior to requesting account deletion.
14. Termination
Nano LMS may suspend or terminate your access to the Service for violation of these Terms, non-payment, or legal or regulatory requirements. Upon termination, your access rights will immediately cease, and Nano LMS may delete User Content after a commercially reasonable retention period, unless retention is required by law. Any outstanding payment obligations accrued prior to termination shall survive.
15. Disclaimer of Warranties
To the maximum extent permitted by law, Nano LMS is provided on an "as is" and "as available" basis. Nano LMS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
16. Limitation of Liability
To the fullest extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation damages for loss of profits, loss of revenue, loss of data, business interruption, or loss of goodwill, arising out of or relating to these Terms or the use of or inability to use the Service, regardless of the legal theory under which such liability is asserted, even if such party has been advised of the possibility of such damages.
Except for liability that cannot be limited under applicable law, the total aggregate liability of either party arising out of or relating to these Terms or the Service shall not exceed the total amount paid or payable by you to Nano LMS for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

Each party agrees to defend, indemnify, and hold harmless the other party, and its respective affiliates, officers, directors, employees, and agents, from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys fees, arising out of or relating to the indemnifying party use of the Service, its content or data submitted through the Service, its breach of these Terms, or its violation of any applicable law or the rights of any third party.
The indemnified party shall promptly notify the indemnifying party of any claim subject to indemnification and shall provide reasonable cooperation in the defense of such claim, at the indemnifying party expense. The indemnifying party shall not settle any claim in a manner that imposes any obligation or liability on the indemnified party without the indemnified party prior written consent, which shall not be unreasonably withheld.
The obligations set forth in this section shall survive the termination or expiration of these Terms.

Nano LMS may revise these Terms from time to time. Updated Terms will be effective upon posting or as otherwise stated. Your continued use of the Service after such changes become effective constitutes acceptance of the revised Terms.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any disputes, claims, or controversies arising out of or in connection with these Terms or the use of Nano LMS shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and both parties hereby consent to such jurisdiction and venue.

Notwithstanding account deletion, Nano LMS may retain certain personal information where retention is required or permitted by law, including for compliance with legal obligations, resolution of disputes, enforcement of agreements, prevention of fraud, and maintenance of security.
